Lensovia terms for business customers

Tutkaneuvos · 1848320-7 · 2026-10-05-D3 · EN

1. Parties and scope

Lensovia is provided by Tutkaneuvos, Finnish Business ID 1848320-7. These terms apply to business and organisational customers; the service is not offered to consumers. The person placing an order confirms authority to bind the customer. An individually agreed written contract identified in the order takes precedence in a conflict. The DPA takes precedence for personal data processing. Separate trial terms specify free-trial limits and duration.

2. The role of Lensovia

Lensovia prepares, compiles, analyses and suggests to support sales, procurement and technical work. It does not independently make the customer’s commercial or technical decisions. An AI assessment, score, forecast, recommendation or draft is not a guarantee, binding quote or independent decision. The service does not guarantee winning a deal, receiving an order, earning profit or achieving another business outcome.

3. Customer review and decision responsibility

Before binding use, the customer checks sufficient original sources and the price, currency, quantity, technical specifications and suitability, availability, lead time, capacity, deadlines, recipient and contract terms. The customer is responsible for its own quotes, prices, technical decisions, delivery promises, purchases, contracts and other commitments to third parties. Customer approval or authorised automation does not release Lensovia from complying with its own contractual obligations.

4. AI output and information status

AI output may be incorrect, incomplete or outdated. VERIFIED means information verified under the company’s rules and usable as a basis for a decision; it does not guarantee continuing freshness or suitability. CANDIDATE and INFERRED are suggestions requiring confirmation. UNKNOWN means sufficient information is unavailable. Missing information must not be replaced by a guess presented as certain, and CANDIDATE must not become VERIFIED without appropriate confirmation.

5. Customer material and usage rights

The customer retains its rights in supplied material and grants Tutkaneuvos a limited right to process it to provide the agreed service. The customer is responsible for its right to submit and process documents, emails, personal data and other material, including appropriate legal bases and permissions. It ensures appropriate material, access rights and lawful instructions. A separate DPA governs processing on its behalf. Rights in the software and the provider’s other service assets remain with Tutkaneuvos or the relevant rights holders.

6. Automation and human approval

Through authorised users, the customer sets its Automation Policy and Human Gates: permitted action types, recipients, data sources, monetary and other limits, and situations requiring approval. An external action requires either case-specific human approval or the customer’s explicit prior authorisation covering that action. The customer is responsible for the commercial content of actions it permits and for maintaining authorisations. Lensovia may act only within agreed authorisations. An AI score, VERIFIED label or general acceptance of these terms does not itself authorise an external action.

7. Third party information and services

Third-party data, prices, availability, lead times, capacity, integrations and services may change or be incorrect. Lensovia does not guarantee their accuracy or a third party’s performance. The customer confirms binding information and, where necessary, the contract directly with the relevant party. This does not remove Tutkaneuvos’s responsibility for its own subcontractors, agreed service operation or DPA obligations under applicable law and the contract.

8. Subscription billing and cancellation

Paid use begins with a separate customer order and payment confirmation. A monthly subscription renews for one month at a time until cancelled before the next renewal. Prices and limits are shown at purchase; applicable taxes are added unless stated otherwise. Stripe processes payments. Cancellation prevents the next charge and access continues until the paid period ends. A started period is not refunded solely because of cancellation, except for billing errors, expressly agreed refunds or mandatory law. A free trial does not automatically convert to paid use. Separate integrations and usage-overage prices are agreed in advance.

9. Availability security and confidentiality

Tutkaneuvos maintains the agreed service and seeks to give reasonable advance notice of material planned outages. Uninterrupted operation is not guaranteed unless a separate SLA provides otherwise. The parties protect each other’s confidential information and use it only for the contract’s purpose. Information may be disclosed as necessary to service providers bound by confidentiality or as required by law. The customer maintains account security, permissions and its own copies of material; this does not remove the provider’s agreed security and backup obligations.

10. Limitation of liability

To the extent permitted by mandatory law, Lensovia is not liable for a lost customer, deal or order, lost profit, revenue or goodwill, or other indirect or consequential loss. Tutkaneuvos’s aggregate liability for direct loss related to the service is limited to the service fees, excluding taxes, paid by the customer for Lensovia during the 6 months preceding the event causing the loss. If the customer relationship has lasted less than six months, only fees actually paid during that relationship are counted; hypothetical future fees are not added. This is a maximum, not an automatic compensation entitlement. Claims relating to the same event fall within the same liability limit. These limitations do not apply to wilful misconduct, gross negligence or liability that cannot lawfully be limited. They do not limit data subjects’ statutory rights or regulatory powers. The customer’s responsibility for its decisions does not give Lensovia a complete exemption from liability.

11. Force majeure

A party is not liable for delay or failure to perform an obligation to the extent caused by an exceptional event beyond its reasonable control that could not reasonably have been foreseen when contracting and whose effects cannot be prevented or overcome by reasonable measures. Examples may include war, an order by a public authority or a widespread power or telecommunications outage. An external-service disruption qualifies only if it meets the same conditions; an ordinary technical fault or inadequate preparation is not by itself sufficient. The affected party notifies the other of the event and effects without undue delay, mitigates harm and resumes performance when the event ends. Relief covers only the event’s effects and duration. If a material event continues for more than 30 days, either party may terminate the affected service in writing without a termination fee. Prepaid unused service time after termination is refunded; payments already due remain payable.

12. Privacy and DPA

The Privacy Notice describes processing for which Tutkaneuvos acts as controller. Where Tutkaneuvos processes personal data on the customer’s behalf, the parties agree a separate Data Processing Agreement, or DPA, before processing. These terms or acknowledgement of the Privacy Notice do not by themselves replace a DPA or the customer’s legal basis. The DPA also specifies subprocessors, transfers, security, notifications, and return and deletion.

13. Suspension termination and changes

Access may be restricted for a material breach, non-payment or a serious security risk. A reasonable opportunity to remedy a remediable breach is given unless immediate suspension is necessary. On termination, material is returned and deleted under the DPA and separately agreed time limits. Material changes to existing subscriptions are notified reasonably in advance; the customer may cancel before they take effect. Publishing new text alone does not retroactively change an earlier contract.

14. Finnish law disputes and language

The contract is governed by Finnish law, excluding conflict-of-laws rules. The parties first seek to resolve disputes through negotiation. Failing settlement, disputes relating to the contract are subject to the exclusive jurisdiction of the District Court of Itä-Uusimaa (Itä-Uudenmaan käräjäoikeus), Finland, unless mandatory law provides otherwise. The parties agree that proceedings will be conducted in Finnish to the extent permitted by law. This does not override the court’s statutory power to determine the language of proceedings or the parties’ mandatory language rights. The Finnish Terms master prevails for interpretation unless a written contract provides otherwise.
